MEMBERSHIP TERMS & CONDITIONS

These Membership Terms & Conditions apply to paid memberships of the Travel PR Association (“TPRA”) purchased by travel companies, destinations, PR agencies, marketing organisations and other eligible organisations or individuals.
By purchasing or renewing a TPRA membership, the Member confirms that they have read, understood and accepted these Terms & Conditions.
1. About TPRA Membership
The Travel PR Association is a membership organisation connecting travel PR and marketing representatives with travel media and providing members with networking, professional development and promotional opportunities.
Depending on the membership level purchased, membership benefits may include:

- access to the TPRA Connection Hub;
-
- inclusion in the TPRA Events Calendar;
-
- access to the TPRA online community;
-
- Zoom In Bites and other professional development opportunities;
-
- access to Zoom Out networking events;
-
- access to Embargo, the TPRA podcast;
-
- opportunities to promote company, client or industry news;
-
- discounts on eligible Travel Connection Group events; and
-
- other benefits introduced or amended by TPRA from time to time.
The benefits available to a Member are determined by the membership level purchased.
For the purposes of these Terms & Conditions: “Member” means the organisation or individual in whose name the membership is purchased; “Membership Commencement Date” means the date specified in the membership confirmation or, if none is specified, the date on which payment is received and access to membership benefits is activated; and “Membership Period” means the period stated at purchase, normally 12 months.
2. Membership Period
2.1 Membership begins on the Membership Commencement Date. Where no specific future commencement date is stated, membership will commence when payment is received and access to membership benefits is activated. Activation includes the granting of access to any member-only online service, community, event benefit or other membership benefit.
2.2 The membership period will normally be 12 months, unless a different period is expressly stated at the time of purchase.
2.3 Membership benefits are available for the duration of the applicable membership period, subject to these Terms & Conditions and any specific conditions relating to individual benefits.
2.4 Membership fees are payable in accordance with the payment terms applicable to the selected membership level.
3. Membership Fees
3.1 Membership fees are those displayed or otherwise communicated by TPRA at the time the membership is purchased.
3.2 Unless expressly stated otherwise, membership fees are exclusive of VAT and VAT will be charged at the applicable rate.
3.3 Membership fees are payable for the full membership period and are not a payment for individual events or individual benefits.
3.4 TPRA reserves the right to amend membership prices for future membership periods.
3.5 Any price increase will not retrospectively alter the price of an existing membership period that has already been paid for.
3.6 Where a payment fails, is reversed or remains outstanding, TCG may suspend access to membership benefits until payment is received. Any chargeback or disputed payment does not of itself cancel the membership or any amount properly due, subject to applicable law.
4. Cancellation Before Membership Commences
4.1 If a Member wishes to cancel a new membership before the membership period has commenced, they should notify TCG in writing as soon as possible.
4.2 Where cancellation is received before the Membership Commencement Date and before access to any membership benefit has been activated or used, TCG will provide a full refund of the membership fee paid, less any non-refundable payment processing or third-party charges actually incurred, subject always to applicable law.
4.3 If membership benefits have already been activated or used, the provisions relating to cancellation after commencement in section 5 will apply.
5. Cancellation After Membership Has Commenced
5.1 Once a paid membership has commenced, the membership fee is non-refundable except where these Terms & Conditions expressly provide otherwise or where a refund is required by applicable law.
5.2 This is because TPRA membership provides access to an ongoing package of services and benefits throughout the membership period, rather than being a payment for individual events.
5.3 Cancellation during the Membership Period will stop the membership from renewing at the end of the current Membership Period but will not entitle the Member to a refund for the unused portion of the current Membership Period, except where these Terms & Conditions expressly provide otherwise or applicable law requires a refund.
5.4 A Member may continue to access the benefits included within their membership until the end of the period for which they have paid, subject to the applicable membership rules.
5.5 Cancellation of membership does not automatically cancel or refund any separate bookings the Member has made for Travel Connection Group events.
6. Cooling-Off Rights
6.1 Where applicable law provides a consumer with a statutory cooling-off or cancellation right, those rights will apply notwithstanding this policy.
6.2 Nothing in these Terms & Conditions is intended to exclude or restrict any statutory rights that cannot legally be excluded.
6.3 Statutory consumer cancellation rights generally apply only where an individual is acting wholly or mainly outside their trade, business, craft or profession. A person purchasing TPRA membership wholly or mainly for professional or business purposes may therefore not qualify as a consumer for these purposes.
6.4 Members who believe they have a statutory right to cancel should contact TCG as soon as possible.
7. Annual Renewal
7.1 Where membership is set up to renew automatically, the Member will be informed of the renewal terms, including the renewal frequency and applicable price or the basis on which that price will be determined. Where reasonably practicable, TCG will provide advance notice of an upcoming automatic renewal and any material change to the renewal price, subject to applicable law.
7.2 Members may cancel their renewal at any time before the next membership period begins by notifying TCG in writing.
7.3 Cancellation of renewal does not normally result in the cancellation of the current paid membership period.
7.4 The Member will continue to receive membership benefits until the end of the current paid period, unless the membership is terminated earlier in accordance with these Terms & Conditions.
7.5 Where a renewal payment has already been taken, the Member should contact TCG as soon as possible. Any statutory cancellation or refund rights will be honoured. In other circumstances, TCG may, at its discretion, agree to cancel and refund a renewal where the request is made promptly and no membership benefits relating to the renewed period have been used.
8. Transfer of Membership
8.1 TPRA memberships are generally purchased for a specific organisation and are not intended to be freely transferable between unrelated businesses.
8.2 Where an employee or representative responsible for a TPRA membership leaves an organisation, the organisation may request that the membership be transferred to another eligible representative of the same organisation.
8.3 TCG may approve such a transfer at its discretion and may request updated membership information.
8.4 A membership cannot be transferred to another company, client or unrelated organisation without the prior written agreement of TCG.
8.5 Where a PR agency holds a membership, the membership may be associated with the agency and/or specified clients depending on the membership level purchased. The permitted use of the membership will be determined by the membership package and any information provided at the time of purchase.
9. Changing Membership Level
9.1 A Member may request to change membership level during the membership period.
9.2 Any upgrade will be subject to availability and the applicable pricing at the time of the upgrade.
9.3 Where an upgrade is agreed, TCG may charge the difference between the existing membership fee and the applicable upgraded membership fee, calculated on a basis determined by TCG.
9.4 Downgrades will normally take effect at the next renewal rather than during the current membership period.
9.5 A downgrade does not normally entitle the Member to a refund of the difference between membership levels during an existing paid membership period.
10. Membership Benefits
10.1 TPRA will use reasonable endeavours to provide the benefits advertised for the relevant membership level.
10.2 TCG reserves the right to modify, replace or discontinue individual membership benefits where reasonably necessary.
10.3 Examples include changes to:

- venues;
-
- dates;
-
- speakers;
-
- hosts;
-
- event formats;
-
- online platforms;
-
- communication channels;
-
- podcast arrangements;
-
- networking opportunities; or
-
- other services provided as part of membership.

10.4 TPRA does not guarantee a specific number of media contacts, meetings, editorial opportunities, leads, business opportunities or commercial outcomes from membership.
10.5 Membership is intended to provide opportunities to connect with travel media and other industry professionals; it does not guarantee any particular business or editorial result.
10.6 TCG may make reasonable operational changes to membership benefits. Where a change would materially reduce the overall package of benefits during an existing paid Membership Period, TCG will endeavour to provide reasonable notice and, where appropriate having regard to the nature of the change and applicable law, offer a reasonably equivalent replacement benefit, credit or other remedy.
11. TPRA Events
11.1 Membership of TPRA does not automatically constitute a booking for individual TPRA events.
11.2 Where a Member registers for a paid event, that booking may be subject to a separate cancellation and refund policy.
11.3 Cancellation of a TPRA membership does not automatically cancel:
-
- Zoom Out bookings;
-
- paid webinars;
-
- Media Getaway bookings;
-
- TravYule bookings; or
-
- any other Travel Connection Group event booking.

11.4 Any refund relating to a separate event booking will be governed by the cancellation terms applicable to that event.
11.5 Where membership provides free or discounted access to an event, the benefit is subject to the conditions applicable to that event and may not be converted into cash or another form of credit.
12. Event Discounts
12.1 TPRA membership may provide discounts on eligible Travel Connection Group events.
12.2 Discounts are only available while the Member meets the eligibility requirements applicable to the relevant offer.
12.3 Where an event specifically requires the Member to remain a TPRA member until the date of the event, cancellation or expiry of membership before that date may result in the Member being required to pay the difference between the discounted and standard event price.
12.4 For example, where a TPRA Member has used a membership discount to book Media Getaway or TravYule, the Member may be required to remain an eligible TPRA Member for the period specified in the relevant event’s Terms & Conditions.
12.5 Membership discounts cannot normally be applied retrospectively to bookings already made.
13. Cancellation by TPRA
13.1 TCG reserves the right to suspend or terminate a membership where a Member:
-
- breaches these Terms & Conditions;
-
- provides materially inaccurate information;
-
- misuses TPRA services;
-
- behaves abusively, threateningly or inappropriately towards other Members, media, staff or partners;
-
- uses membership access for unauthorised commercial purposes;
-
- attempts to share or resell membership benefits without permission; or
-
- acts in a manner that could reasonably damage the reputation or operation of TPRA.

13.2 Where reasonably practicable, TCG will notify the Member of the issue and provide an opportunity to resolve it before termination.
13.3 TCG may terminate membership immediately where the circumstances are sufficiently serious to justify doing so.
13.4 Where membership is terminated due to a Member’s breach of these Terms & Conditions, the Member will not normally be entitled to a refund of unused membership fees.
14. Cancellation or Closure of TPRA
14.1 TCG reserves the right to suspend, restructure or discontinue the TPRA membership programme.
14.2 If TCG permanently discontinues TPRA during a paid Membership Period and can no longer provide the membership package, TCG will offer affected Members an appropriate remedy, subject to applicable law.
14.3 Depending on the circumstances, the remedy may include transfer to a reasonably equivalent Travel Connection Group service with the Member’s agreement, account credit with the Member’s agreement, or a pro-rata refund for the unused portion of the Membership Period. Where no reasonably equivalent replacement can be provided or agreed, a pro-rata refund will be the default remedy, subject to applicable law.

14.4 Any remedy will take account of the services already provided, the remaining Membership Period and any rights available to the Member under applicable law.
15. Event Cancellation and Circumstances Beyond Our Control
15.1 Individual TPRA events may occasionally be cancelled, postponed, relocated or changed due to circumstances beyond TCG’s reasonable control.
15.2 Such circumstances may include:

- extreme weather;
-
- natural disasters;
-
- public health emergencies;
-
- government restrictions;
-
- venue closure;
-
- transport disruption;
-
- industrial action;
-
- security concerns;
-
- terrorism;
-
- war or civil unrest; or
-
- other circumstances making an event impossible or impractical to deliver.

15.3 Cancellation or postponement of an individual TPRA event does not automatically entitle Members to a refund of their membership fee.
15.4 Where an individual event is separately paid for, any refund will be dealt with under the cancellation terms applicable to that event.
16. Event Credit
16.1 Where TCG agrees that a Member is entitled to a refund or credit arising from membership or a membership-related service, TCG may offer the Member the option of receiving the value as Travel Connection Group event credit.
16.2 Event credit may be used against eligible future Travel Connection Group events or services agreed by TCG.
16.3 Unless otherwise agreed:

- credit cannot be exchanged for cash;
-
- credit cannot be transferred to another organisation without written approval;
-
- credit cannot be applied retrospectively;
-
- credit is issued to the original Member or booking organisation; and
-
- credit must be used within 24 months of the date on which it is issued.

16.4 TCG may, at its discretion, offer an additional uplift on credit as an incentive to retain funds within the Travel Connection Group event programme.
16.5 Where a Member has a legal or contractual entitlement to a cash refund, event credit will only be provided instead with the Member’s agreement.
17. No Refund for Individual Unused Benefits
17.1 Membership fees are not apportioned according to individual benefits.
17.2 A Member’s decision not to use one or more membership benefits does not create an entitlement to a partial refund.
17.3 Examples include choosing not to:

- attend Zoom Out;
-
- participate in Zoom In Bites;
-
- use the Connection Hub;
-
- use the Events Calendar;
-
- participate in the online community;
-
- listen to Embargo; or
-
- use available event discounts.

17.4 The absence of a particular benefit due to a reasonable operational change does not automatically entitle a Member to a refund.
18. Member Conduct
18.1 TPRA is intended to be a professional and inclusive community.
18.2 Members must treat other Members, travel media, TCG staff, event partners, suppliers and guests with respect.
18.3 TCG reserves the right to restrict or remove access to TPRA services where a Member’s conduct is abusive, discriminatory, threatening, harassing, disruptive or otherwise inappropriate.
18.4 No refund will normally be available where membership is terminated as a result of serious misconduct or breach of these Terms & Conditions.
19. Data Protection
19.1 TCG will process Member information in accordance with applicable UK data protection legislation and its Privacy Policy.
19.2 Member information may be used to administer membership, provide membership benefits, organise events, facilitate introductions and communicate with Members.
19.3 Certain information may be shared with event partners, venues, technology providers and other suppliers where reasonably necessary to deliver membership benefits.
19.4 Members should refer to TCG’s Privacy Policy for further information about how personal information is processed.
20. Limitation of Liability
20.1 Nothing in these Terms & Conditions excludes or limits liability that cannot legally be excluded or limited.
20.2 Subject to applicable law, TCG will not be liable for indirect or consequential losses, loss of profits, loss of business, loss of opportunity or other consequential losses arising from membership.
20.3 TCG does not guarantee that membership will result in any particular media coverage, commercial relationship, business lead, partnership or other outcome.
21. Changes to These Terms
21.1 TCG may update these Terms & Conditions from time to time.
21.2 Where changes materially affect existing paid Members, TCG will provide reasonable notice where practicable and will not use this clause to remove or materially reduce accrued statutory or contractual rights.
21.3 Changes required by law or changes that do not materially disadvantage a Member may take effect on the date stated by TCG. Material changes to the contractual terms applying to an existing paid Membership Period will be subject to applicable law and any notice or consent requirements that apply.
22. Governing Law
22.1 These Terms & Conditions are governed by the laws of England and Wales.
22.2 Subject to any mandatory rights available to the Member under applicable law, the courts of England and Wales shall have exclusive jurisdiction over disputes arising from these Terms & Conditions.

The cancellation date will normally be the date on which written notice is received by Travel Connection Group.
TCG will confirm receipt of a cancellation request in writing. Members should retain this confirmation as evidence that the cancellation has been processed. If a Member does not receive confirmation within a reasonable period, they should contact TCG again. A failure by TCG to send confirmation does not invalidate a cancellation request that can be shown to have been received.
24. Acceptance
By purchasing or renewing a paid Travel PR Association membership, the Member confirms that:

- they have read and understood these Terms & Conditions;

- they accept the membership fee and applicable payment terms;
-
- they understand that membership fees are generally non-refundable once membership has commenced;
-
- they understand that cancelling membership does not automatically cancel separate event bookings;
-
- they understand that membership benefits may change from time to time; and
-
- they agree to comply with these Terms & Conditions.
